Terms of Service

1. Acceptance of Terms

By accessing or using the Vistadek platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of Service

Vistadek is a cloud-based, multi-tenant visitor management platform that enables organizations to manage visitor check-ins, capture visitor information, generate badges, track analytics, and maintain security records. The Service is provided on a subscription basis across multiple plan tiers (Free, Pro, Enterprise).

3. Account Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying Vistadek immediately of any unauthorized use of your account
• Ensuring that all users within your organization comply with these Terms

4. Subscription Plans and Billing

The Service is offered in multiple plan tiers with varying features and limits. By subscribing to a paid plan, you agree to:

• Pay all applicable fees as described in your selected plan
• Provide valid payment information through our supported payment providers (Paystack, Flutterwave, or other available providers)
• Accept that subscriptions automatically renew unless cancelled before the renewal date
• Understand that downgrades take effect at the end of the current billing cycle
• Accept that refunds are handled on a case-by-case basis at Vistadek's discretion

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Collect or harvest any personally identifiable information from other users without consent
• Use the Service to store or transmit malicious code
• Resell, sublicense, or redistribute the Service without written authorization

6. Data Ownership

You retain all rights to the data you input into the Service, including visitor records, organizational information, and uploaded media. Vistadek does not claim ownership of your data. Each organization's data is logically isolated in a multi-tenant architecture to prevent unauthorized cross-organization access.

7. Service Availability

While Vistadek strives to maintain high availability, we do not guarantee uninterrupted access to the Service. Scheduled maintenance, emergency fixes, and circumstances beyond our control may result in temporary unavailability. We will make reasonable efforts to notify you in advance of planned downtime.

8. Intellectual Property

The Service, including its design, branding, software, and documentation, is the intellectual property of Vistadek and is protected by applicable copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

9. Termination

Either party may terminate the use of the Service at any time. Vistadek reserves the right to suspend or terminate accounts that violate these Terms, engage in abusive behavior, or fail to pay applicable fees. Upon termination, your right to access the Service ceases immediately. You may request an export of your data within 30 days of termination.

10. Limitation of Liability

To the maximum extent permitted by law, Vistadek shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or goodwill. In no event shall Vistadek's total liability exceed the amount paid by you for the Service during the twelve (12) months preceding the claim.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the competent courts of Lagos, Nigeria.

12. Changes to Terms

Vistadek reserves the right to modify these Terms at any time. Material changes will be communicated via email or through a notice on the Service. Continued use of the Service after such changes constitutes acceptance of the updated Terms.
